PROCARE USA EXPANDS MANAGEMENT TEAM

Farmington, CT - January 9, 2002 - Procare USA, announced the appointment of
Richard Anderson, Vice President of Business Development.

Richard Anderson, CPA, CVA will jointly manage Company operations for Procare USA along with the Company's Founder Scott O'Carroll. Anderson has an extensive business and financial background. He began his career in 1986 at Harper & Whitfield, PC where he spent 15 years as an accounting, tax, and business advisor. In addition to being a Certified Public Accountant, he also earned the designation Certified Valuation Analyst and as Director of Entrepreneurial Services for Harper & Whitfield he was in charge of the firm's business valuation practice. In 1995 he co-founded The Olive Oil Factory, Inc., a specialty food company that specialized in the importing and bottling of gourmet olive oil. He is a graduate of Nichols College and is a member of the Connecticut Society of Certified Public Accountants and a former member of The Entrepreneurship Institute.

At Procare USA, Anderson is responsible for all financial matters that affect the Company as well as strategic planning and growth initiatives. "Richard's addition to Procare has provided the Company with a better breadth of management and will allow us to be more secure in our future growth", said Scott O'Carroll. Anderson will work from Procare's Farmington Connecticut corporate office.
